1. Introduction
These Terms and Conditions ("Terms") govern your access to and use of the ipfond platform, websites, and related services (collectively, the "Services") provided by VedX AB, Org.nr. 556951-9191, Björnidegränd 4, 162 46 Vällingby, Stockholm, Sweden ("VedX", "we", "us", or "our"). By accessing or using the Services, you agree to be bound by these Terms.
2. Eligibility and Accounts
You must be at least 18 years old and have the legal authority to enter into a binding agreement to use the Services. You are responsible for safeguarding your account credentials and for all activities that occur under your account.
3. Use of the Services
You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not (a) reverse-engineer, decompile, or attempt to extract source code; (b) use the Services to develop a competing product; (c) upload unlawful, infringing, or harmful content; or (d) interfere with the integrity or performance of the Services.
4. Intellectual Property
All right, title and interest in and to the Services, including all software, models, content, and trademarks, remain the exclusive property of VedX and its licensors. You retain ownership of any data or materials you submit ("Customer Data") and grant VedX a limited license to process such data solely to provide the Services.
5. Fees and Payment
Where fees apply, you agree to pay all charges in accordance with the pricing and billing terms presented at the time of purchase. All fees are non-refundable unless otherwise required by law.
6. Confidentiality
Each party will protect the other's confidential information with the same degree of care it uses for its own confidential information, and in no event less than reasonable care.
7. Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied. ipfond outputs are intended as decision-support and do not constitute legal advice. You are responsible for independently verifying any output before relying on it.
8. Limitation of Liability
To the maximum extent permitted by law, VedX shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. Our aggregate liability under these Terms shall not exceed the fees paid by you to VedX during the twelve (12) months preceding the event giving rise to the claim.
9. Termination
We may suspend or terminate your access to the Services at any time for breach of these Terms or as otherwise reasonably necessary. Upon termination, your right to use the Services will cease immediately.
10. Governing Law
These Terms are governed by the laws of Sweden, without regard to its conflict of law principles. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Stockholm, Sweden.
11. Changes
We may update these Terms from time to time. Material changes will be communicated through the Services. Continued use after such changes constitutes acceptance of the revised Terms.
